At the May 16, 2012 AIG Board of Directors meeting in Anaheim, CA, the Board adopted a resolution calling for a vote on a proposed Bylaw change that will eliminate the requirement that the two annual Board meetings both be held live and in person. If the Board adopts the proposed amendment at its next meeting to be held on October 10, 2012 in Clearwater, FL, only the Annual Board Meeting, held after the Board of Director elections, currently at the fall conference, must be conducted live and in-person; and there will be an option to hold the second Board meeting electronically.
Below is the proposed Bylaw change to be voted on:
Article VII, Section 6. Conference Telephone Meetings.
Members of any board or committee of the Association may participate in a meeting of such committee, except for the two (2) first regular meetings of the Board of Directors, which coincides with the Annual Meeting of Members, provided for in Article IV, section 8, conducted by means of a conference telephone or similar communications equipment allowing all persons participating in the meeting to hear one another at the same time. Participation by such means shall constitute presence in person at a meeting.
